Position: Company Secretary Experience: 5 8 years Location: Thiruvananthapuram About the Role We are looking for a highly qualified and experienced Company Secretary (CS) to oversee corporate governance, regulatory compliance, legal documentation, and secretarial responsibilities. This role is critical in ensuring the organization meets statutory requirements and operates in accordance with applicable laws and best practices. Key Responsibilities Ensure full compliance with the Companies Act, 2013 and other applicable corporate laws and regulations. Organize and manage Board Meetings, Committee Meetings, and General Meetings, including preparation of agendas, minutes, and resolutions. Maintain and update all statutory registers and records. File necessary forms and returns through the MCA21 portal. Draft, review, and manage legal documents such as MOA, AOA, policies, and board resolutions. Ensure compliance with SEBI LODR regulations and NCD listing requirements. Manage FEMA compliance, including FDI, ODI, ECB, and filings like FC-GPR, FC-TRS. Ensure ongoing compliance and governance for foreign subsidiaries in locations such as the UK, USA, Singapore, and Australia. Liaise with international legal and CS consultants for overseas regulatory filings and governance. Coordinate with external legal counsel on contracts, legal notices, and litigation matters. Draft and review NDAs, MoUs, vendor agreements, and other legal documents in support of business teams. Handle licenses, registrations, approvals, and ensure timely renewals. Promote and monitor corporate governance across the organization. Ensure compliance with RBI, Labour Laws, ESG guidelines, and other industry-specific regulations. Liaise with RTAs, NSDL/CDSL, and stock exchanges as required. Support the creation of the Annual Report, Director s Report, Corporate Governance Report, and other disclosures. Requirements Qualified Company Secretary (CS) and member of ICSI. Minimum 5 years of post-qualification experience. Experience in a listed company or managing listed NCDs is highly desirable. Strong knowledge of SEBI, FEMA, RBI guidelines, and compliance for foreign subsidiaries. Excellent drafting, communication, and stakeholder management skills. Proven ability to manage multiple responsibilities independently and work collaboratively with internal and external teams.

Create multimedia assets such as videos, eLearning modules, infographics, and guides using tools like Articulate, Adobe Creative Suite, Camtasia. Hands-on experience with LMS platforms (e.g., Cornerstone, Moodle, TalentLMS). Proficiency in instructional design methodologies (ADDIE, SAM) and authoring tools (Articulate, Adobe Suite, Camtasia). Excellent verbal and written communication, proofreading, and stakeholder management skills. Strong analytical and presentation skills with the ability to use data to drive decisions. Ability to manage multiple learning programs simultaneously and meet tight deadlines. Qualification : Bachelors or Masters degree in Education, Human Resources, Organizational Psychology, or related field.
