Job Summary
Sound knowledge of Civil, Commercial, Labour Laws, Consumer Dispute, Trademarks, Copyright & Other Intellectual Property Rights etc
Deep understanding of drafting and executing various legal documents, contract/ agreement such as B2B partner agreement, Client agreement, Service agreement, Reseller agreement, Vendor agreement, Master Service Agreement (MSA), NDA, SOW, MOU s etc
Liaise with various external and internal agencies, departments and government authorities
Drafting replies, response and letters to legal cases to vendors in relation to contractual matters and monitor and pursue court cases by interacting and assisting the departments Counsel
Provides necessary legal assistance in handling day to day legal issues and drafting, Vetting, standardizing and closing all types of agreements, documents and review of agreements
Provides the legal assistance/ advice to Business team on legal issue
Drafting of Agenda, Notice and Resolution for the Board meetings, Committee meetings and for AGM (including Special Notices). Drafting Minutes of Board Meetings, committee meetings and Shareholders Meetings. Well conversant with MCA-21, i.e. online filing, online inspection
Signing the annual return Certifying the financial statements attached to the annual return, which
Giving the company such information as is necessary to enable it to comply with its obligations to notify the companies registration office ( CRO ) of changes of Secretary or to his particulars
Ensuring that the requirements of the Companies Acts are complied with (section 100 of the Company Law Enforcement Act 2001)
Legal and Statutory Compliances viz. under Companies Act, Service Tax, Labour Laws, FEMA; Internal Audit; Vetting Legal agreements; Company Litigations coordination; Service Tax matters coordination
Handling legal compliance for tax exemption of Scientific research activities under Income Tax Act Sec 35(2AB) and DSIR recognition certification
