Secretarial:
1. Responsible for all company secretarial functions, duties and responsibilities.
2. Organizing, preparing agenda and taking minutes of Board Meetings, Committee Meetings and General Meetings.
3. Preparation, Maintenance and custody of Company's Statutory Records, documents, returns and registers. (As per Formats of Companies Act 2013).
4. Filing of various E-forms through MCA Portal (According to Companies Act 2013).
5. Compliance of statutory requirements of the Company.
6. Conducting Board Meetings, Committee Meetings and General Meetings and preparation of minutes thereof.
7. Drafting of Annual Report (including Notice, Directors Report, Corporate Governance Report along with all other supporting documents).
8. Advising the Board of Directors regarding the requirement of various statutes and communication and implementation of their decision to various departments by ensuring its confidentiality and secrecy.
9. Compliance of RBI Regulation and FEMA Regulations.
10. Work related to appointment/Re-appointment, Removal of Director, MD,CFO, CEO, Company Secretary and appointment/regularization of Auditor (including Statutory, Secretarial, Internal and Cost Auditor) etc.
11. Co-ordination with various statutory bodies like Department of Corporate Affairs, Reserve Bank of India, FEMA etc.
12. Allotment and transfer of Shares and maintenance of share holders register, updating of their data, reply to their queries and clarifications.
13. Issuance of Authority letters, Power of Attorney(s), certified copy of Resolutions and providing various documents to different government authorities and bodies for getting license, registration etc. under various statutes.
14. Co-ordination with Statutory Auditors and providing them various details required from time to time.
Legal:
1. Drafting and vetting of various agreements like Lease Agreements, Service Agreements, Leave and License Agreements, Non disclosure Agreement, Supply agreements, Purchase agreements, Manpower Supply Agreement, Human Resource Consultancy Agreements, Transport& Security Agreements.
2. Drafting and Vetting of other legal documents like POA, affidavits, Indemnity Bond, Vakalatnama, Letter of Authority, Renewal & Termination Letters etc.
3. Drafting and Vetting Legal Notices under Section 138 / 142 of the Negotiable Instrument Act.
4. Liasioning with Consultants/ legal counsels for Labour cases, Negotiable Instrument Act, Code of Civil and Criminal Procedure and property related matters and appearance with them in respective courts.
5. Compliances reporting under various laws like labour laws etc.
Banking:
1. Preparation of Letter of Credits, Bank Guarantee, DD, FD etc. and handling all the Bank related activities.
2. Preparation of Import Payment documents.
3. Preparation of Merchant Trade documents and monitoring receipts and payments as per the RBI and FEMA, guideline and leg closure.
4. Posting import payments in SAP and bank charges.
5. Monthly Bank Reconciliation for all the bank accounts.
6. Handling Merchant Trading Transactions.
7. Handling RBI Requirements, RBI Surveys etc.
8. Exposure on Obtaining NPS Facility.
9. Assisted in Fixed Assets Verification.
10. Other Finance activities assigned by HOD.
Recruitment, Regulatory, Budget Tracking, Budget Oversight, Strategy, Operations, Budget Development, Facility Management, Finance, Human Resources, Strategic Planning, Budget Preparation, Performance, Planning, Administration, Expense Budgeting, Project Tracking, Administrative Operations
1. Minimum 6 years of relevant work experience (start-up experience would be a plus).
2. Ability to build relationships both within the organisation and outside vendors / partners.
3. Ability to focus on the big picture and at the same time also go deeper into details if required.
4. Ability to develop and mentor high performing teams across the organization and focuses on accountability while maintaining high quality results.
5. Should be flexible and respond quickly as per business requirement and also drives to others toward a common goal.
Qualification : Seeking a strong computer science graduate from tier 1 institute with prior hands on experience in technology and e-commerce startups.
