Prerequisites:
* Qualification CS with 3-4 yrs. of experience in a listed company.
Core Responsibilities:
Responsible for Conduct & prepare minutes of Board Meeting, , Preparation of Annual Report. Assisting in maintaining statutory books, including registers of members, directors, and secretaries. MIS reports under the Compliances of Companies Act.

A) Secretariat Support:

• Drafting Resolutions, Minutes of Board Meeting, General Meetings, Notice and other normal Company Secretarial Documents
• Preparation and filing of Annual Filing Documents and Forms with ROC & Stock Exchanges
• All secretarial works such as the issue of shares, increase in Authorized capital, Transfer of shares, Charge satisfaction, Charge Creation, Modification
• Be the key point of contact for the relevant subsidiary boards.
• Provide accurate and relevant information to Directors and the Boards of Joint Venture companies and Board committees.
• Maintain the relevant Board calendar,
• Ensure all decisions of the Board are accurately and appropriately recorded in the minutes of the meetings.
• Maintain statutory records for all relevant subsidiary/JV companies
• Manage and coordinate the processing, verification, and execution of all material legal documentation on behalf of subsidiary companies.

B) Corporate Governance:

• Maintain a current knowledge base of external corporate governance requirements, trends, and key matters of interest for Boards.
• Assist in complex governance issues, including providing direction and facilitating approvals as required by the Shareholders Agreement, to and from the Joint Venture companies, their shareholders.
