Job Summary

Key Responsibilities

  • Responsible for statutory filing obligations in portfolio of countries, primarily Europe (not UK) and Americas to include specifically:
  • Filing of any annual returns or declarations as required by local company law
  • Change of company name
  • Change of Registered Office location
  • Admin duties:
    • Keep up to date all entity information for clients using internal software
    • Assist Global Compliance team maintain accurate and meaningful data on the portal
    • Distribution of incoming post
    • Assisting Global Compliance function with ad-hoc admin tasks to ensure deadlines are met
    • Providing nominee director/company secretary appointments and registered office services
    • Providing company secretarial services submitting annual returns and filings, appropriately recording appointments and key events in statutory registers etc.
    • Ensuring that the company s composition meets local regulatory requirements and keeps apace with statutory reforms
    • Supporting positive corporate governance such as the supply of policies to cover anti-bribery, data privacy or export controls
    • Provide go to support to clients for all of their company secretarial needs such as changes of directors, shareholders, registered office etc
    • Maintain accurate and up to date statutory registers as required by local law
    • Draft and update constitutional documents (Articles of Association etc.) in accordance with local law/best practice
    • Develop knowledge of local requirements in portfolio countries, document and promote within Vistra
    • Operate within department systems and processes to ensure accuracy and quality targets are met
    • Develop and manage key internal and external relationships to drive quality improvements and ensure a proactive corporate governance service

Relevant Experience

  • In a client facing advisory or regulatory role. Proven track record of delivering high quality client service in a fast paced and demanding workplace. Managed team members to deliver client service

Education

  • Degree or professional qualification in law or other field of relevance desired. (such as Chartered Secretary)

Computer Skills

  • Microsoft office, specifically Outlook, Word, Excel and an ability to work with systems
