Job Summary

KEY RESPONSIBILITIES:

  • Handling Annual Filing with Stock Exchange, ROC & RBI
  • Handling ROC Form Filing
  • Handling Commercial Papers related filings
  • Handling RBI Due Diligence
  • Handling Treasury and Banking related matters (FBC requests)
  • Assist in Finance and Banking Committee meetings
  • Assist in Shareholders grievance matters
  • Assist in Suspense Account request
  • Assist in IEPF matters
  • Assist in Dividend relate matters
  • Preparation of Annual Disclosure
  • Handling quarterly and event-based Stock Exchange filing
  • Assisting in Board Meeting related filings and Logistics
  • Issuing and monitoring Nomination Letters for banks
  • Assisting Senior Manager and Company Secretary in other day to day matters
  • FUNCTIONAL COMPETENCIES

    • Good knowledge of Corporate law, it is working, and procedures involved.
    • Good drafting skills (letters, Agenda & Minutes)
    • Must be able to communicate with Shareholders, RTA, NSE BSE and Auditors etc .
    • Good working knowledge in MS Word, Excel and Power Point presentations.
    • Able to travel domestic/international as per requirements.

    MANAGERIAL COMPETENCIES

    • Compliance Management and Due Diligence (Capable)

    Expertise in managing compliance to Companies Act, SEBI and RBI regulations and adherence to Secretarial standards in Board meetings of company for CEAT and its allied business and offices

    • Process Orientation (Advanced)

    Setting up, adherence and highlighting deviations in any processes and ensuring continuous improvements

    • Shareholder relationship management & Communication (Advanced)

    Ability to develop constructive relationship and communication channel with shareholders and various external and Govt agencies with appropriate grievance handling mechanism

    • Liasoning Skills (Capable)

    Abilty to interact with government bodies, officials and managing a working relationship with the same

    • legal Drafting skills (Capable)

    Ability to draft and develop various legal documents in respective domains of roles

    Proficiency Levels for Competencies:- Basic- elementary understanding & familiarity

    Foundational- ability to apply knowledge in certain areas

    Capable- solid understanding and ability to apply knowledge in most areas

    Advanced- Thorough in-depth understanding

    Master- Advisory Expert in subject knowledge

    PREFERRED AGE

    22 - 30 years

    QUALIFICATION

    Qualified Company Secretary, Law graduate may advantage

    EXPERIENCE

    0-3 years

    SPECIAL REQUIREMENTS

    (IF ANY)

    ESSENTIAL

    Should be well versed with Filing with Stock Exchanges, ROC, RBI and sound knowledge of Corporate Law

    DESIRABLE

    Prior experience in Listed Company
